Terms of service

These terms govern your use of the website qgi.studio and the QGI Studio application, including the Finance Studio vertical at fin.qgi.studio ("Studio"), provided by Quantum General Intelligence Inc. ("QGI", "we", "us"). By using the website or Studio you agree to these terms. If you use Studio under an Enterprise agreement, that agreement governs where it conflicts with these terms.

1. The service

Studio is an agentic workspace. Inside a project, an agent runs on the engine and model you select, uses the tools, MCP servers and skills enabled for that project, and produces artifacts: documents, decks, pages, sheets, media, scripts and workflows. Agentic Workflows run on a schedule or on events and record every run. Features, engines and tools may differ by plan and by tenant configuration.

2. Accounts, tenants and plans

You need an account to use Studio, and in platform mode your email must be on the tenant's access list. You are responsible for keeping your credentials secure and for activity under your account. Plans are priced in credits per month and workspaces, as set out at qgi.studio/pricing or in your order form; a vertical may override the platform defaults. Credits are consumed by runs. Fees are payable in advance for the billing period and are non-refundable except as required by law or agreed in writing.

3. Your content

You own the prompts, files, data, and artifacts you create with Studio ("Your Content"). You grant QGI a limited license to process Your Content only as needed to provide the service, for example to send content to the engine's model provider to perform a run you requested. We do not use Your Content to train models. You are responsible for having the rights to the content you place in a project and for how you use artifacts.

4. Artifacts and review

Studio produces artifacts from your instructions, your content, and the data returned by tools. Artifacts may contain errors. Studio records a transcript, a run id and a version for each run so you can review the work. You are responsible for reviewing artifacts before relying on them, in particular credit decisions, adverse-action notices, disclosures, and any regulated communication. Studio is not a substitute for professional legal, compliance, or financial advice.

5. Engines, tools, MCP servers and approvals

Engines are configured per tenant by an admin, and each engine's model provider has its own terms. Tools, MCP servers, connectors and skills you add act within the scope you grant, and the third-party services behind them are governed by their own terms. Governed workflows carry approval gates; an approval you give is your action. You are responsible for complying with the terms of every service you connect.

6. Acceptable use

You agree not to use Studio to: break the law or the rights of others; access systems or data you are not authorized to access; create or distribute malware; harass, defraud, or harm anyone; attempt to circumvent tenant, role or per-user isolation; interfere with the fleet or the service; or resell Studio without a written agreement. We may suspend accounts that violate these terms.

7. Intellectual property

Studio, the QGI engines and models, the website, the template catalog and related materials are owned by QGI and its licensors and are protected by intellectual property law. These terms grant you a limited, non-exclusive, non-transferable license to use Studio during your subscription. Feedback you send us may be used without obligation to you.

8. Privacy

Our privacy policy explains how we handle personal data. It forms part of these terms.

9. Availability and changes

We work to keep Studio available and reliable, but we do not guarantee uninterrupted service or the availability of any particular engine or model. We may update Studio, add or remove features, engines, tools or templates, and change these terms. Material changes will be posted on this page or in the application before they take effect. Continued use after the effective date means you accept the changes.

10. Warranties and disclaimers

Studio is provided "as is" and "as available". To the fullest extent permitted by law, QGI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. QGI does not warrant that artifacts, tool results or third-party data will be accurate, complete, or suitable for any purpose.

11. Limitation of liability

To the fullest extent permitted by law, QGI will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of Studio. QGI's total liability for any claim arising from these terms or Studio will not exceed the fees you paid to QGI in the twelve months before the claim. Some jurisdictions do not allow these limits, so they may not apply to you.

12. Indemnity

You will defend and indemnify QGI against claims arising from Your Content, your use of engines, tools, MCP servers and third-party services, or your breach of these terms.

13. Termination

You may stop using Studio and close your account at any time. We may suspend or terminate your access for breach of these terms or for non-payment, with notice where practical. On termination, your license ends and scheduled workflows stop. You may export your artifacts before closure. Sections that by their nature should survive termination will survive.

14. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to its conflict of law rules. Disputes will be resolved in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction. Nothing in this section prevents either party from seeking injunctive relief in any court.

15. General

These terms, your order form, and any Enterprise agreement are the entire agreement between you and QGI about Studio. If any provision is unenforceable, the rest remains in effect. You may not assign these terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Notices to QGI go to qgi.dev/contact.
